1. Acceptance of Terms

By accessing or using the Unchained platform (the "Platform"), including any websites, mobile applications, services or products provided by [Company Name] ("Unchained," "we," "us" or "our"), you ("User," "you" or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

2. Eligibility & Account Registration

2.1 Eligibility

To use the Platform, you must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. Users under the age of 18 may only use the Platform with the involvement of a parent or guardian and subject to our Children's Privacy Statement.

2.2 Account Registration

Users must create an account by providing accurate and complete information. You agree to keep your account credentials confidential and not to share your account with anyone else. You are responsible for all activities that occur under your account.

2.3 Verification

We may verify information provided by Users and may deny or terminate accounts in our sole discretion if information is inaccurate or incomplete.

3. Definitions

"Artist" – any musician, performer, creator or representative who registers on the Platform to promote and perform at events.

"Venue" – any event space, location or promoter that registers on the Platform to host events.

"Fan" or "Attendee" – any individual who purchases tickets or otherwise attends events through the Platform.

"Services" – all services provided by Unchained, including event discovery, ticket sales, marketing tools and payment processing.

"User‑Generated Content" ("UGC") – content created or uploaded by Users (such as comments, reviews, images, audio, video and other materials).

4. License & Platform Use

4.1 License to Use Platform

Subject to these Terms, Unchained grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Platform for lawful purposes.

4.2 Ownership

The Platform, all content (other than UGC) and associated intellectual property rights are owned by Unchained or its licensors. Users receive no ownership interest in the Platform.

4.3 User‑Generated Content

Users retain ownership of their UGC but grant Unchained a worldwide, non‑exclusive, royalty‑free, transferable, sublicensable license to use, reproduce, modify, distribute, display and perform UGC in connection with the Platform, our business operations, marketing and promotional activities. Users represent that they have the rights necessary to grant this license and that the UGC does not violate any law or third‑party rights. Unchained may remove or disable access to UGC at any time.

5. Acceptable Use & Prohibited Conduct

5.1 Acceptable Use

Users agree to use the Platform only for purposes that are legal, proper and in accordance with these Terms. Users must comply with all applicable laws and regulations.

5.2 Prohibited Conduct

You must not:

• Violate any law, regulation, or third‑party rights (including intellectual‑property, privacy or publicity rights).
• Post or transmit content that is unlawful, libelous, defamatory, obscene, pornographic, indecent, harassing, threatening, hateful, discriminatory or otherwise objectionable.
• Upload content that infringes or misappropriates another's intellectual‑property rights or encourages the unauthorized sharing of copyrighted works.
• Engage in fraud, misrepresentation, or deceptive practices, including the sale of counterfeit or invalid tickets.
• Circumvent, disable or interfere with security‑related features of the Platform.
• Use automated scripts or bots to collect information from the Platform or engage in data scraping.
• Share your account credentials or allow anyone else to access your account.
• Use the Platform to build a competing product or service.

5.3 Community Guidelines

Unchained may publish Community Guidelines that expand on these prohibited behaviours; violation of those guidelines constitutes a breach of these Terms.

6. Ticket Sales & Payment

6.1 Ticket Purchase

When you purchase tickets through the Platform, you agree to pay the total price displayed at checkout. To comply with the Federal Trade Commission's Junk Fees Rule, the total price includes all mandatory fees and charges and is displayed more prominently than partial pricing. Optional add‑on fees (e.g., merchandise packages) will be clearly disclosed and may be declined.

6.2 Payment Processing

Payments are processed via third‑party payment processors. By providing payment information, you authorize us and our payment processors to charge your payment method for the total amount (including taxes and fees). We may place a hold on your payment method to secure payment.

6.3 Commissions and Service Fees

Artists and venues agree that Unchained may charge service fees, processing fees or commissions. These fees will be disclosed prior to the sale and included in the total ticket price.

6.4 Refunds & Cancellations

Refund and cancellation policies are set out in the Refund & Cancellation Policy below and may vary by event. All refund requests must comply with those policies.

6.5 Taxes

Users are responsible for any taxes associated with transactions on the Platform. Unchained may collect and remit taxes where required by law.

7. Changes to Events & Force Majeure

7.1 Changes or Cancellations by Artists/Venues

Artists and venues may modify or cancel events in accordance with our Event Listing Agreement and Refund & Cancellation Policy. Unchained will notify attendees of material changes and provide refunds where required.

7.2 Force Majeure

Unchained is not liable for failure to perform if such failure is due to events beyond our reasonable control (e.g., acts of God, natural disasters, war, terrorism, labour disputes, government actions or other force majeure events).

8. Intellectual Property Rights

8.1 Ownership

Except for UGC, all content, trademarks and logos on the Platform are owned by Unchained or its licensors and are protected by intellectual‑property laws. You may not use our marks without our prior written consent.

8.2 Copyright Policy

Unchained respects the intellectual‑property rights of others and has adopted a Copyright & DMCA Policy. Users may report infringing content by following the notice procedure described therein. Unchained may remove or disable access to infringing material and terminate repeat infringers.

9. Third‑Party Services & Links

The Platform may contain links to third‑party websites or services. Unchained is not responsible for the content, products or services provided by third parties. Accessing third‑party services is at your own risk and subject to their terms and privacy policies.

10. Disclaimers & Limitation of Liability

10.1 Disclaimer of Warranties

To the maximum extent permitted by law, the Platform and all services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Platform will meet your requirements, be uninterrupted, secure or error‑free.

10.2 Limitation of Liability

To the maximum extent permitted by law, Unchained and its affiliates, directors, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages arising out of or relating to the Platform or these Terms. In no event shall Unchained's total liability exceed the greater of (a) [amount paid by you to Unchained during the past 12 months] or (b) USD 100.

10.3 Indemnification

You agree to indemnify, defend and hold harmless Unchained and its affiliates from any claims, damages, liabilities, costs and expenses arising from (i) your use of the Platform; (ii) your violation of these Terms; or (iii) your violation of any law or third‑party rights.

11. Termination

11.1 Termination by Unchained

Unchained may suspend or terminate your account at any time, with or without notice, for any reason, including if you violate these Terms or applicable laws.

11.2 Effects of Termination

Upon termination, your right to use the Platform will cease immediately. Sections that by their nature should survive termination (e.g., ownership, limitation of liability, indemnity, governing law) will continue to apply.

12. Dispute Resolution & Governing Law

12.1 Governing Law

These Terms and any disputes arising hereunder are governed by the laws of the [State] and the United States, without regard to conflict‑of‑law principles, unless mandatory laws of the user's jurisdiction require otherwise.

12.2 Informal Resolution

Before initiating formal legal proceedings, you agree to contact Unchained to attempt to resolve the dispute informally. If we cannot resolve the dispute within 60 days, either party may initiate arbitration or litigation as provided below.

12.3 Arbitration

(Optional) Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the [Arbitration Association] under its rules. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction. This clause may be modified or omitted where prohibited by law.
